TERMS AND CONDITIONS FOR SELLERS

1. These Terms and Conditions (“Program Terms”) regulate your participation in the Program. A seller (collectively referred to as “Sellers” and individually as a “Seller”) may participate in the Program via Lazada Seller Center subject to the applicable terms and conditions as may be determined by Lazada and communicated to you from time to time. By participating in the Program, the Seller agrees to enter its selected store’s active SKU during periods communicated to Sellers via Lazada Seller Center except for any exclusion as permitted by Lazada from time to time.

2. Sellers can enter the same selected SKUs for multiple campaigns.

3. For each order placed by a customer for an eligible SKU under the Program (“Eligible SKU”):

(a) a customer will enjoy a cross-store incentive based on certain threshold as determined by Lazada (“Applicable Threshold”);

(b) The Applicable Thresholds are mutually exclusive to Eligible SKUs, and subject to a cap on the discount per eligible SKU (“Discount”) For example:

15% off, minimum spend PHP599

(c) Sellers shall adhere to the Discount and the co-funding rate communicated to Sellers on the Seller Centre, Lazada University, or as otherwise notified by Lazada from time to time.

(d) The Eligible SKU will carry a tag indicating the Applicable Threshold requirements it falls within.

(e) The Discount may not be applied with other platform vouchers and other vouchers, discounts and promotions under the Everyday Cashback Program when it places an order for an Eligible SKU under the Program.

4. Sellers must pay a commission fee ("Seller’s Co-Funding Amount") for each order that contains the Seller’s Eligible SKUs and that qualifies under the Applicable Thresholds.

5. The Seller’s Co-Funding Amount shall be adjusted according to the specific requirements for each campaign which will be communicated on the Seller Centre. Lazada may also adjust the Seller’s Co-Funding Amount based on certain criteria’s to be solely determined by Lazada and such criteria will be indicated on the Seller Centre, Lazada University, or as otherwise notified by Lazada from time to time.

(a) The Seller’s Co-Funding Amount may differ depending on a seller’s Everyday Cashback Program adoption status, an SKU’s category, or special rates granted by Lazada from time to time.

(b) If a seller opts out of the Everyday Cashback Program at any time during the Program period, their Co-Funding Rate may also revert to the default Co-Funding Rate of the Program.

6. Each Seller in a qualifying order will bear proportionately the value of such Seller’s Eligible SKU against the total Seller’s Co-Funding Amount.

7. Seller’s Co-Funding Amount will only be charged for each completed order.

8. Where the Seller or customer cancels the order, or the order is returned and/or refunded to the customer, Lazada will (i) not charge the Seller’s Co-Funding Amount in the Seller's weekly finance settlement report; or (ii) return the Seller’s Co-Funding Amount to the seller within a period of 45 (forty five) days from the date the order is cancelled or refunded, as the case may be.

9. Any amount due from the Seller under the Seller’s Co-Funding Amount will be automatically deducted by Lazada from the Seller's weekly financial statements.

10. Seller cannot withdraw from the Program 1 day before (a) the start of a campaign teasing period, if there is one; or (b) the campaign commencement date. This is to provide a coherent experience to the buyer. E.g.: if teasing period starts on 10 March 2023, Seller will not be allowed to withdraw from the Program after 00:00:00 on 9 March 2023.

11. All applicable taxes, duties, government fees and other charges on the Seller’s Co-Funding Amount shall be borne by Seller.

12. Lazada is not responsible for delivery failures that are not caused by errors and / or beyond Lazada's control.

13. Seller’s Obligations:

(a) The Seller acknowledges and agrees that:

(i) the Seller shall comply with all applicable laws and regulations to the fullest extent when participating in the Program;

(ii) the Seller is entitled and legally competent to participate in the Program;

(iii) the Seller shall comply with any and all guidelines, notices, operating rules, and policies and instructions pertaining to the Program, as well as any amendments thereto issued by Lazada from time to time;

(iv) the Seller shall be responsible for all information that is communicated, submitted, transmitted or otherwise made available during the Seller’s participation in the Program whether to Lazada or third parties; and

(v) the Seller shall not participate in the Program or permit anyone to participate in the Program in any manner which may adversely affect other customers' or your participation in the Program or the goodwill or reputation of Lazada.

(b) Where Lazada deems that the Seller has breached any of these Program Terms, including fraudulently participating in the Program, Lazada reserves the right, at its sole and absolute discretion to:

(i) prevent or restrict your access to the Program in any part or the whole of the Program or the Lazada platform;

(ii) report any activity it suspects to be in violation of any applicable law, statute or regulation to the appropriate authorities and to co-operate with such authorities; and/or

(iii) revoke any benefits obtained during your participation in the Program.

14. Lazada has the right to change, modify, add to or otherwise vary these Program Terms from time to time (including to terminate the Program in whole or in part), and in a way that Lazada deems fit in accordance with applicable laws and regulations. Each Seller is responsible for accessing, reviewing and keeping yourself updated with all these amendments. Your continued participation in the Program after such amendments shall be deemed as your confirmation and acceptance of such amendments and all the amendments shall be valid and applicable to you. By participating in the Program, each Seller confirms and agrees that you have read, understood and agree with the Program Terms..

15. Lazada has the right to check information and disqualify the seller in the Program if the Seller is suspected of cheating or violating these terms and conditions in any form, including other terms and conditions on the Lazada platform.

16. In the event any provision in these terms or other terms and conditions as agreed or accepted by the seller is illegal, invalid or unenforceable, such provision shall be implemented as far as possible in accordance with its terms. Provisions that are illegal, invalid or unenforceable are considered separate and shall not affect the enforceability of other terms and conditions where other terms and conditions remain valid and can be implemented to the extent permitted by law.

17. The Program including all terms and conditions, are governed by the laws of the Philippines. Any dispute, controversy, difference or claim arising out of or relating to these Promotion Terms, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it, shall be referred to and finally resolved by arbitration in accordance with the Alternative Dispute Resolution Act of 2004. The seat of arbitration shall be Metro Manila, Philippines. The arbitration proceedings shall be conducted in English.
